Terms of Service

1. Agreement to Terms

By creating an account or using GritShip ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. GritShip is operated by GritShip ("we", "us", "our").

2. Service Description

GritShip is a web-based project management tool for solo developers, freelancers, and small teams. The Service provides boards, task management, real-time collaboration, file attachments, and related features accessible through a web browser.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately at contact@gritship.com if you suspect unauthorized access.

You must be at least 16 years old to use the Service. By using GritShip, you represent that you meet this age requirement.

4. Free and Paid Plans

GritShip offers a free tier with limited features and a Pro plan with additional capabilities. Feature availability and plan limits are described on our pricing page and may change over time.

Payments for Pro plans are processed by Freemius, Inc., which acts as the merchant of record for all purchases. Your purchase is additionally governed by Freemius's Terms of Sale. Credit card information is processed directly by Stripe or PayPal through Freemius and is never stored on our servers.

5. Billing and Cancellation

Pro subscriptions are billed monthly and renew automatically until cancelled. You may cancel at any time through your account settings or by contacting us. Upon cancellation, you retain access to Pro features until the end of your current billing period.

6. Your Content and Data

You retain full ownership of all content you create in GritShip, including tasks, comments, descriptions, and file attachments ("Your Content"). By using the Service, you grant us a limited license to host, store, display, and transmit Your Content solely to provide and improve the Service.

You are responsible for Your Content and must ensure it does not violate any laws or third-party rights.

7. Data Export and Portability

You may export your project data at any time using the export feature. If your account is terminated, we will retain Your Content for 30 days to allow retrieval. After that period, Your Content may be permanently deleted.

8. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Upload malicious files, malware, or content designed to disrupt the Service
  • Attempt to gain unauthorized access to other accounts or our systems
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated means (bots, scrapers) to access the Service without our written permission
  • Resell, sublicense, or redistribute access to the Service

We may suspend or terminate accounts that violate these terms without prior notice.

9. Intellectual Property

The Service, including its design, code, features, and branding, is owned by GritShip and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime or service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law, GritShip and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising from your use of the Service.

Our total liability for any claims related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to indemnify and hold harmless GritShip from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or Your Content.

14. Termination

You may delete your account at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately, and we may delete Your Content after the 30-day retrieval period.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
